Terms of Service

These Terms of Service ("Terms") govern access to and use of the HTX Hockey platform, websites, and related services (the "Platform") operated by HTX Hockey LLC, a Texas limited liability company ("HTX Hockey," "we," "us"). By creating an account, activating an organization, opting in to SMS notifications, or using the Platform, you ("Customer," "you") agree to these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

HTX Hockey provides software-as-a-service tools for youth sports organizations, including registration and payment collection, rostering, scheduling, player evaluation, drill and practice planning, off-ice training, surveys, statistics, team communications, and related organizational management. We may add, modify, or discontinue features over time. The Platform is provided on a subscription basis as described at purchase.

2. Accounts and access

You are responsible for the confidentiality of login credentials and for all activity under your account. Access to an organization is controlled by role-based permissions; grant access only to authorized individuals. Provide accurate information and keep it current.

3. Customer Data and responsibility

"Customer Data" means all data you or your users upload, including rosters, contacts, evaluations, and payment records. As between the parties, Customer Data belongs to you. You are solely responsible for the accuracy of Customer Data and for having all necessary rights, permissions, and consents to collect it and load it into the Platform — including consent from parents or guardians for any data concerning minors. You will not upload data you are not authorized to process, and you will comply with all laws applicable to your collection and use of that data. You grant HTX Hockey a limited license to host, process, and display Customer Data solely to provide and support the Platform.

4. Acceptable use

You will not: use the Platform for unlawful, harmful, or fraudulent purposes; upload malicious code or attempt to breach security or access data belonging to other organizations; reverse-engineer, copy, resell, or create derivative works of the Platform; send unlawful communications; or misrepresent your identity or authority. We may suspend access for violations.

5. Fees, payment, and refunds

Subscription fees are as quoted at activation. Card payments are processed by our third-party processor (Stripe); HTX Hockey does not store full card numbers. Applicable taxes may be added. Fees are billed in advance and, where a plan auto-renews, renew automatically unless cancelled before the renewal date. Except as required by law or expressly stated, fees are non-refundable. Registration and payment features you use to collect money from your own participants are provided as a tool; you, not HTX Hockey, are the merchant of record for those transactions and are responsible for your own tax and refund obligations to your participants.

6. Intellectual property

The Platform, including all software, design, text, templates, and trademarks, is owned by HTX Hockey LLC. These Terms grant you a limited, non-exclusive, non-transferable right to use the Platform during your subscription. Feedback you provide may be used by us without obligation.

7. Third-party services

The Platform relies on third-party subprocessors (cloud hosting, payment processing, email and SMS delivery). Your use may be subject to their terms, and we are not responsible for their acts or omissions beyond our reasonable control.

8. SMS Terms

By opting in to SMS notifications from HTX Hockey (HTX Hockey LLC), you agree to receive text messages including schedule changes, reminders, and account links. Message frequency varies. Message and data rates may apply. Reply STOP at any time to opt out, or HELP for help. Carriers are not liable for delayed or undelivered messages. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. See our Privacy Policy for how we handle your information.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted or error-free. The Platform is an administrative tool and does not provide medical, legal, financial, or safety advice.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HTX HOCKEY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID TO HTX HOCKEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You will defend and indemnify HTX Hockey against claims arising from Customer Data, your use of the Platform in violation of these Terms or law, or your failure to obtain required consents, including consents concerning minors.

12. Term, suspension, and termination

These Terms apply while you have an active account or subscription. Either party may terminate for material breach not cured within 30 days of notice. We may suspend immediately for security, non-payment, or legal risk. On termination, your right to use the Platform ends; you may request an export of Customer Data within 30 days, after which we may delete it subject to legal retention and backup cycles.

13. Changes

We may update these Terms. Material changes will be communicated through the Platform or by email, and continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Texas. Exclusive venue for disputes is the state or federal courts located in Texas, and the parties consent to that jurisdiction.
